We need a Legal Affairs Manager

Job Description

The Legal Manager oversees all legal and corporate matters within the KSA GS companies, ensuring compliance with applicable laws and regulations, minimizing legal risks, and protecting the company’s interests. This role involves providing legal advice, managing litigation

Legal Advisory

• Provide expert legal advice on corporate, commercial, and regulatory matters to ensure compliance with KSA laws and GS company policies.
• Review and draft contracts, agreements, and other legal documents to safeguard the company’s interests.

Compliance & Governance

• Monitor and ensure adherence to applicable laws, regulations, and internal governance frameworks.
• Support implementation of compliance programs and policies across all GS entities in KSA.

Risk Management

• Identify potential legal risks and develop strategies to mitigate them.
• Advise management on risk exposure and recommend preventive measures.

Litigation & Dispute Resolution

• Manage and oversee all litigation and dispute resolution processes.
• Coordinate with external counsel and represent the company in legal proceedings when required.

Corporate Matters

• Handle company secretarial duties, including board resolutions, shareholder meetings, and regulatory filings.
• Support corporate restructuring, mergers, acquisitions, and other strategic transactions.

Stakeholder Management

• Liaise with government authorities, regulators, and external legal advisors.
• Collaborate with internal departments to ensure legal alignment in business operations.

Reporting & Documentation

• Maintain accurate legal records and prepare periodic reports for senior management.
• Ensure timely submission of legal and compliance documentation to relevant authorities.

Personal Skills

• Fluent in English.
• Strong leadership and team management skills.
• Excellent communication and negotiation skills.

Technical Skills

• Bachelor’s Degree in Law (LLB or JD) – Mandatory.
• Master’s Degree in Law (LLM)
• License to Practice Law in the relevant jurisdiction
• 12 – 15 years
• Exceptional analytical and problem-solving abilities.
• Ability to influence senior stakeholders and drive organizational change
• Strong knowledge of corporate law, contract law, and regulatory compliance.
• Excellent negotiation, drafting, and communication skills.
• Analytical thinking and problem-solving ability.
• Ability to manage multiple projects under pressure.

Thomson Reuters is looking for a Strategic Account Manager, Legal for MENA region based in Saudi Arabia (Riyadh) to cover the whole legal solutions portfolio.

Role Purpose

• Grow & retain revenue and expand market share of Thomson Reuters legal content, legal tech, and legal AI solutions in designated strategic accounts/territory.
• Opening and winning new business to expand Thomson Reuters footprint in the region within designated accounts.
• The person will be an active ‘hunter and farmer’ seeking opportunities and progressing the commercial conversation with clients.
• Develops and maintains high level relationships to ultimately drive revenue growth.
• Develops and executes territory & account strategy collaborating with different internal teams to deliver a comprehensive product offering to meet overall customer needs.
• Develops key stakeholder communities both internal and external.

About the role

• Act as an expert for legal tech/AI solutions and advise clients to improve work efficiency.
• Selling TR legal solutions to existing and new clients within the designated territory.
• Maintain deep knowledge of the designated accounts/territory and the clients’ workflow and challenges.
• Strategically develops, executes and maintains a growth-centric business plan and own overall strategy for revenue growth.
• Develops strong, high level, contact network within the designated territory including C and E level executives and department heads.
• Establishes strong, long-term customer relationships and identifies new business opportunities and maintains relationships with key decision makers.
• Applies knowledge of business and its constituent workflows to conceive and position value-added solutions to promote sales and revenue growth.
• Maintain accurate pipeline on salesforce for forecast and reporting purposes.
• Maintains up to date product knowledge on all products and solutions.
• Serves as a business advisor to promote long term relationships with the client and drives overall customer satisfaction.

About You

• Experience working with (Corporates, governments, and law firms) in MENA markets.
• Self-starter with a strong sales experience, preferably within the legal/regulatory / SAS related field with a legal/ technology/business educational background or related field.
• Fluency in Arabic and English.
• Strong understanding of customers and their business model and workflows.
• Strong relationship building skills and experience in establishing C level relationship.
• Proven commercial experience in a customer facing environment required.
• Problem solving skills and ability to understand, articulate, structure and solve client needs.
• Presentation and communication skills: ability to deliver presentations and communicate at all levels within an organization.
• Strong collaboration skills & strong interpersonal skills.
• Self-confident and comfortable working under limited supervision.
• A desire to compete and win business in a team setting.
• Wide contact network across MENA region would be an advantage

Role Purpose:

To assist the Legal Counsel in all legal and regulatory requirements of the organization within the sector statutory and regulatory framework. To review, manage and improve, legal documents and procedures and the compliance requirements of the organization. Act as Board Secretary when required.

Job Responsibilities

• Provide legal support and assistance (drafting and advice) to the General Counsel and the management of the company in regard to Company projects including contracts for consultants; tendering and procurement processes and procedures; negotiation of project documentation; execution of project documentation; and project closing.
  
• Provide legal support and assistance (drafting and advice) to the projects implementation and contracts departments in regard to existing contractual arrangements and claims.
  
• Provide advice and interpretations of contracts.
  
• Analyse and present the Company’s position regarding disputes and issues.
  
• Advise on and draft responses / letters to project companies in relation to any matter.
  
• Advise on and draft variations and amendments to contracts.
  
• Provide mentoring and support to other members of the Legal & Regulatory team regarding legal and Arabic language issues
  
• Support the General Counsel with management of external legal service providers
  
• Support the Legal & Regulatory Group team regarding company law compliance and regulatory and governance obligations.
  
• Review and draft tendering and procurement documents in coordination with the relevant departments.
  
• If applicable, responsible for the following bodies: (i) The Board of Directors; (ii) the Board Audit Committee; (iii) the Human Resources Committee; (iv) the Internal Tender Committee; and Technical Committee.
  
• Custodian of the original copies of the following: (i) Minutes of meetings of the aforementioned bodies; and (ii) Corporate Documents.
  
• Identify and plan for expenses during the year in alignment with business objectives and priorities.
  
• Provide inputs in finalizing the budget for the department/section and monitor budget continuously.
  
• Highlight and prepare a business case for deviations from budget/expenditures on unplanned activities.
  
• Communicate the overall business plan and focus areas for the business and clarify the manner in which the team will contribute to overall business objectives; translate the business plan into team/departmental objectives.
  
• Delegate responsibilities and tasks to team members with clear timelines and expectations on quality; make available the requisite resources to perform the job.
  
• Review performance in an objective, fair, and transparent manner and hold people accountable for performance; create development plans in line with employee aspirations and company objectives.
  
• Identify the business need for establishing a process and provide inputs in defining and documenting it; assign accountabilities within the team for managing the process.
  
• Adhere to internal processes and encourage adherence from team members; recognize the need for modifications to existing processes and share them with appropriate teams.
  
• Treat IT security with the utmost importance and adhere to ISO standards and aspects on IT security.
  
• Understand the HSE standards of the company and adhere to them at all times.
  
• Report incidents of HSE violations and lapses to competent authority.

Requirements

Must have experience working in private sectors.

• Bachelor’s degree in law or equivalent
  
• Minimum 5 years of relevant Experience

• CEO, COO and All departments: For legal advice and assistance with projects, existing customers, contractual and licence issues, Board and regulatory document preparation and corporate governance and compliance

External

• subsidiaries: For shareholder issues including annual general meeting and for coordination of group-wide compliance and corporate governance initiatives
  
• Authorities: For licence-specific requirements and project approval processes particularly engaging with the Authority for Electricity Regulation and the Tender Board
  
• Government including the ministries of Finance, Oil and Gas, Housing and Environment: For project-specific issues
  
• Contractual Counterparties: Regarding dispute resolution and clarification of contractual requirements and negotiation of amendments and variations to existing contractual arrangements
