The Opportunity
Responsible for the legal/compliance function of the Middle East business; primarily in UAE, Saudi Arabia and Bahrain as well as the broader MENA region. Protects the company’s rights in contract negotiations, settlements, and litigation. Ensures compliance with applicable laws and regulations. Advises management on recent changes in laws and regulations that affect the company. Oversees a broad range of transactional and corporate structuring work. Manages a small group of legal/ compliance professionals and supports their development.
Key Tasks
Advisor
Advise the Company’s business leaders on legal matters and risk mitigation across the Middle East based on a strong understanding of the strategic objectives.
Provide guidance on the implementation of strategic and tactical business plans and objectives.
Work closely with the business lines including senior leaders on high profile projects, a broad array of transactions, commercial arrangements, disputes and litigation, regulatory compliance, and employment matters
Anticipate and identify legal issues of concern to senior managers and develop legal strategies and solutions.
Provide prompt, concise and commercially focused legal advice to resolve complex or sensitive legal issues.
Provide flexible support to assist the business as it grows and expands into new business lines, including navigating new regulation relevant to different service lines or jurisdictions.
Maintain awareness of evolving trends and risks, and regulatory regimes that could impact the business, including an up-to-date legal knowledge in areas of special interest to the Company. Provide relevant training to the business.
Commercial
Implement corporate decisions relating to mergers, acquisitions, joint ventures and restructuring.
Draft, review, and negotiate client contracts and other legal documents related to the provision of real estate services including significant brokerage, property management transactions and valuation/consulting transactions.
Work with the wider business to improve precedents and protocols to manage legal risk efficiently. Create legal bulletins to alert the company of important developments in the law.
Key point of contact regulatory authorities for any commercial applications, extensions of licences or other matters
Acts as Company secretary, ensuring the smooth administration of the legal entities including compliance with corporate governance standards and communication with shareholders.
Dispute Resolution
Assist with contentious or compliance issues as they arise, working towards practical solutions, settlement or dispute strategy where appropriate. Provide relevant training to the business on lessons learned.
Engage, supervise and coordinate the work of external legal counsel as needed.
Investigate claims and complaints by or against the Company, including interviewing relevant parties and preparing reports based on findings.
Compliance
Implement the Company’s global compliance program; promote legal and compliance awareness in the business, proactively improving the risk profile of the organisation
Lead by example and model behaviours that are consistent with the Company's RISE values.
Develop new compliance initiatives and communicate them to the business teams to improve operational excellence. Able to motivate and negotiate effectively with key employees and leadership to take desired action. Ability to analyse and present effective solutions to management on company legal issues.
Implement the Company’s AML/CTF and sanctions program, overseeing client due diligence using a risk-based approach.
Manage data privacy compliance.
Create effective and persuasive presentations on complex topics to employees as well as CBRE colleagues worldwide. Able to motivate employees and others to take desired compliance actions.
Work collaboratively with the global compliance function on local implementation of key initiatives.
Management
Provides guidance and leadership to staff in allocating work, training and development, coaching, and mentoring, as well as measuring, appraising and rewarding performance.
Facilitate effective communication between various Middle East departments, and with the regional/global leadership in APAC and United States.
Appropriately escalate and notify regional Legal or Compliance Heads of any significant compliance issues.
Our ideal person is someone who:
Has acquired a Bachelors of Law Degree with a minimum of 10 years of in-house or private practice experience.
Has been admitted to legal practice in the UK, USA, Canada or equivalent common law jurisdiction.
Demonstrates fluency in English, both verbal and written. Arabic would be advantageous.
