A top-tier ranked American Law Firm is currently looking for a Paralegal to join their Corporate Transactions department in the UAE's capital, Abu Dhabi.

Key Requirements:

Previous working experience at an International Law Firm within a similar role.

Strong track record supporting a team of fee-earners in a variety of tasks including but not limited to drafting and analyzing reports, contracts, and agreements, preparing court bundles, liaising with government entities, and conducting due diligence/legal research projects.

Arabic proficiency would be an added advantage.

Ideally, you would be currently based in the UAE or have previous experience working or studying in the Middle East.

The Paralegal will assist the Associate Director – Legal (Commercial) and Policy & Legal Team with the preparation and finalisation of draft regulations and other legislation needed for the effective regulation of ADGM entities. The Paralegal will also help with any other tasks to assist the legal, policy or enforcement functions including benchmarking, researching, and many other facets of law. The Paralegal will also be required to assist the Senior Executive Director in any administrative functions that are required.

Operational responsibilities:

    Help facilitate the development and ongoing review of the  regulations and associated legislation and legal instruments together with any policy developments for the ADGM
    Provide paralegal support to the legal, policy and enforcement including drafting and reviewing legislation and the enactment of this legislation
    Oversee the document control of legislation from the commencement of drafting to final enactment
    Assist in improvement and management of processes and procedures for the team
    Conduct research for team members on areas of relevance to the team and its objectives
    Maintain a legal advice log of all legal advices provided by the legal team and also any advices provided to the ADGM by external legal services providers
    Provide administrative support to the Policy & Legal Team

JOB SUMMARY:

The Paralegal will provide guidance and support to the different attorneys across the Legal Department and contribute a wide variety of corporate and commercial file support.

JOB RESPONSIBILITIES:

* Proofreading documents, letters, memos, and presentations, for typos

* Assisting with producing print / signature ready documents

* Completing and reviewing any administrative documents, procedures and forms related to the incorporation and compliance of legal entities

* Filing, organizing, and maintaining a register of filings and other legal records

* Preparing and organizing signature process and safekeeping of original documents

* Arranging for couriers, ensuring time-sensitive material are timely received

* Managing archive of legal documents in digital database

* Undertaking audits on the legal database to ensure documents are filed correctly

* Identifying and resolving discrepancies in a file

* Assisting with KYC requests relating to the group structure and its shareholders

* Translating and/or validating external translations

* Uploading internal and external invoices onto payment system; follow up with accounts on payments

* Coordinating with other areas/departments of the Group to develop efficient procedures/communications to streamline processes and satisfy various department needs

* Coordinating outside services, either directly or through support departments, and acting as a liaison with involved third parties

* Training new attorneys in local office and department procedures and technical aspects of the Paralegal area of expertise

What you'll need to succeed

 • Excellent organizational and communication skills

• A minimum of 2 years in a corporate environment (preferably, within the legal department) or government entity

• Excellent Excel, Word and Outlook skills

• Knowledge of legal concepts and methodologies

• Experience with corporate commercial law or contract law

• Experience setting up Free Zone companies

• Fluency in spoken and written English required; French and/or Arabic preferred

Job Summary

The Legal Officer will handle all company secretarial duties relating to Alghanim Industries companies located inside ( “Kuwaiti and GCC Companies”) and outside (“Global Companies”) (with an emphasis on India, Singapore, Hong Kong, Vietnam, Turkey, Bermuda, China and Mauritius) while providing other support to the Company Secretary function.

 

The Legal Officer will be expected to:

    Provide advice and support to all Alghanim Industries business units in relation to the Kuwaiti, GCC Companies and Global Companies, including: AGMs/EGMs, incorporations/dissolutions, share transfers, annual filings, minutes, powers of attorney, licenses and other corporate actions.
    Coordinate and work closely with all other Alghanim Industries central functions (particularly Legal, Finance, Treasury), foreign management companies, external counsel, and Global Company directors to maintain a seamless, efficient, effective working relationship.
    Monitor compliance with applicable regulations and internal policies, and communicate with relevant parties to ensure alignment.
    Render complex issues intelligible to lawyers and non-lawyers alike, while maximizing the commercial opportunities and minimizing the risks associated with the company’s business ventures.
    Maintain corporate files for all Kuwaiti, GCC and Global Companies as well as entity organizational charts.
    Create, update and maintain an array of templates and online resources for use across the company as well as within the Legal Department.
    Research and prepare reports for internal shareholders, including the Head of the Legal Department.
    Supervise completion of certain deliverables and tasks by the Company Secretary administrative staff.

 

Candidate profile

    Degree related to law or business.
    Formal Company Secretary training is preferable
    Experience working as a Company Secretary for a legal team or 1 year as a lawyer or a secretary to the Board of Directors
    Strong Arabic Language skills.
    Strong English language skills.
    Prior experience working in a supervisory role.
    Prior exposure to family-owned companies.
    Sound knowledge of office management and filing systems.
    Diligent, self-starting and able to complete projects on schedule with minimal hand-holding.

 Job Summary:  The incumbent will be responsible for assisting in protecting the Group’s interests in particular in respect of litigation for and against the Group.

 
Job Description:

    Creating new reports, charts and summarizing the reports as might be needed
    Updating the cases reports with the daily update submitted by law firms inside and outside Qatar (e.g. should be able to translate from Arabic to English when needed)
    Invoices and recovered amounts reports
    Coordinate for any required translation
    Monitor the number of cases handled by each law firm and recovery rate
    Carry out weekly review of the cases reports, highlight hearing dates in past or delay in filing new cases and share the report with the team to follow up with the external lawyers
    Maintain relationships with Qatar Public Prosecution, Qatar Police, Qatar Courts, QFC Courts, Qatar Central Bank as required for the administration of QCB/Court orders.
    Handling the original documents handover report
    Contribute to the review and revision of the existing policies and procedures for the local and international litigations.
    Assist the legal staff in the Litigation section in providing well-researched legal advice to all departments within the Group on matters relating to Group's transactions where applicable laws, regulations or facts are unclear and conflicting to ensure the Group’s legal position is protected.
    Contribute to the preparation of the weekly, quarterly and annual returns for executive management on the activities of the Legal Department.

Job Requirements:

    University degree (preferably in Law)
    Must possess at least 2 years of experience performing the role of a paralegal as set out in this document.
    Thorough competence in operational issues relating to the processing of Court and QCB orders.
    Excellent oral and written communication skills in English and Arabic (preferred).
    Well-developed analytical and interpersonal skills.
    Self-motivated, eye for detail.
    Flexible team player and able to work and deliver under pressure.
