Senior Legal Counsel (MS&T and Maritime), ADNOC, Abu Dhabi, UAE

 Job Purpose:

A strategic role based at ADNOC Headquarters within the Marketing Supply Trading & Maritime team of ADNOC Group Legal.

The Senior Legal Counsel will provide senior level legal advice and services to ADNOC and its subsidiaries/affiliates on existing operations and new projects and transactions, both domestically and internationally, with a particular focus on ADNOC’s Marketing, Supply Trading and Maritime business, at a pivotal time in the growth of this area.

The Senior Legal Counsel role will be engaged in and responsible for:

  • Sale contract matters including term and spot sales, GTC management, amendments, novation, assignments
  •  International relations matters including negotiating, drafting, and managing strategic and commercial government to government arrangements
  •  Advising on strategic intra-ADNOC Group arrangements to increase value through the ADNOC chain including in the supply, trading, hedging, shipping, storage, refining and expansion areas.
  •  Overseeing ADNOC’s Marketing Supply Trading & Maritime group company activities.

 Key Accountabilities:

  • Provides senior legal advice to the Crude, Specialty Products and International Relations teams within the Downstream Industry, Marketing and Trading Directorate on operational, corporate, and transactional matters.
  • Leads the drafting, review, and amendment of ADNOC’s sale contracts and full suite of GCTs relating to the sale of ADNOC’s Crude, Refined Products and Specialty Products. 
  • Leads the drafting, review and amendment of transactional documents related to both internal intra-ADNOC Group projects and transactions, and external international strategic projects and transactions of the Downstream Industry, Marketing and Trading Directorate.
  • Advises on legal matters related to Downstream Industry, Marketing and Trading Directorate’s corporate and asset management activities.
  • Supervises work of legal counsel and more junior lawyers.
  • Assists in review of claims in connection with the Marketing Supply Trading & Maritime business activities including through interpretation and advice on performance of signed contracts and prevailing legislation.
  • Assists the Head of Legal (Marketing Supply Trading & Maritime) and the Associate General Counsel (Downstream Industry, Marketing and Trading Directorate) in oversight of the legal functions of the Marketing Sales Trading and Maritime group companies, particularly in development and implementation of common legal practices and joint strategies.
  • Provides support and mentoring to junior Emirati and expatriate lawyers (including identifying training and development needs and organizing, in coordination with Training & Development Division in Human Capital Directorate, courses, seminars and orientation programs).
  • Manages external legal counsel services, including review of external legal counsel work product, preparation of request for proposals and instructing external legal counsel.
  • Coordinates with Corporate Governance Department on corporate governance matters and with Compliance Department on compliance mattes related to Downstream Industry, Marketing and Trading Directorate group companies.
  • Assists the Head of Legal (Marketing Supply Trading & Maritime) and the Associate General Counsel (Downstream Industry, Marketing and Trading Directorate) in recruitment of lawyers for the team - including review, vetting, interviewing, and screening candidates.
  • Qualifications. Experience. Knowledge & skills:

Minimum Qualification     

Bachelor’s Degree in law from a reputable university.

Minimum Experience & Knowledge & Skills

  • Minimum 8 years Post Qualification Experience of international trade and maritime work in a reputable international law firm and/or in-house legal department
  • Team player with confidence to progress matters independently within the team structure
  • Ability to understand and get to grips with concepts and a range of contracts quickly
  • Ability to communicate and push matters forward with numerous and diverse stakeholders throughout the business

Professional Certifications

Must be a qualified lawyer in a common law jurisdiction.

About the Role:

We are looking for a professional, capable and motivated Executive Assistant to provide proactive support.  We are looking for someone who enjoys being busy, has plenty of initiative, is confident, high energy and can 'hit the ground running.’ 

RESPONSIBILITIES:

  • Full secretarial and EA support to several MDs and occasionally team support
  • Diary management    
  • Taking a leading role to ensure that all internal systems are updated on a regular basis, specifically Lawson and Salesforce
  • Manage and prioritize information flow, i.e., calls, contacts, emails
  • Submit weekly timecards for the team
  • Submit expenses for the MDs
  • Support client needs, including billing and document management

  • Take minutes at various meetings, and distribute in a timely manner
  • Liaising with HR team in London regarding local employees
  • Organize travel and produce travel itineraries for the MDs
  • Liaise with reception to ensure that meeting rooms are booked
  • Deal with any admin queries and issues on all levels when necessary
  • Meet and greet clients to the offices
  • Assist with planning and organizing of client/company events in coordination with the marketing team as required (some attendance will be required)
  • Any other tasks deemed necessary for the efficient running of the business
  • Ensuring the office stationery supplies are stocked sufficiently
  • Liaising with building management for any repairs/maintenance to the offices, stocking of kitchen supplies etc.
  • IT issues – being point of contact on the ground

REQUIREMENTS:

•    Communication with customers for Logistics arrangements
•    Measurement of OTD
•    Reporting expected shipments against budget / forecast. Any other duties as required.


Profile: 
•   
 Minimum of 10 years relevant experience (inventory management, warehousing, purchasing, distribution), or graduate with minimum of 5 years               relevant experience
•    Minimum of 5 years management / supervisor experience with excellent Team and Communication skills
•    Excellent knowledge of ERP / MRP, preferably SAP
•    Data driven, with excellent knowledge of Excel
•    Oil & Gas products / markets an advantage
